These Terms & Conditions ("Terms") constitute a legal agreement between you and AI Scale Force ("AI Scale Force", "we", "us") governing your access to and use of the website aiscaleforce.com (the "Site") and any professional services we provide ("Services").
1. Acceptance of Terms
By accessing the Site or engaging our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site or engage our Services.
2. Services
AI Scale Force provides AI consulting, digital transformation, business consulting, and intelligent automation services. The exact scope, deliverables, timelines, fees, and acceptance criteria for any engagement will be defined in a written Statement of Work ("SOW"), Master Services Agreement, or purchase order (each a "Contract"). In the event of a conflict, the Contract prevails over these Terms.
3. Fees, Invoicing & Payment
- Fees for Services are described in the applicable Contract and are exclusive of taxes, duties, and levies which are payable by the client.
- Invoices are payable within the period stated in the Contract (default: 15 days from the date of invoice).
- Payments made online are processed through authorized payment gateways (including Razorpay). By initiating payment, you also agree to the applicable payment gateway's terms.
- Overdue amounts may attract interest at 1.5% per month or the maximum rate permitted by law, whichever is lower.
4. Client Responsibilities
You agree to provide accurate information, timely access to systems, personnel, and data reasonably required by AI Scale Force to deliver the Services, and to obtain all necessary rights and consents for any information you share with us.
5. Intellectual Property
Unless expressly agreed in a Contract: (a) each party retains ownership of its pre-existing materials; (b) AI Scale Force retains ownership of its methodologies, know-how, tools, and reusable components; and (c) client-specific deliverables developed exclusively for you will be assigned or licensed to you as specified in the Contract upon full payment.
6. Confidentiality
Each party will protect the other's confidential information using reasonable care and use it solely for the purposes of the engagement. This clause survives termination of the Contract.
7. Warranties & Disclaimers
AI Scale Force will perform the Services in a professional and workmanlike manner. To the maximum extent permitted by law, the Site and Services are otherwise provided "as is" without any other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
8. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunity. Each party's aggregate liability arising out of or in connection with the Services will not exceed the fees paid to AI Scale Force for the specific engagement giving rise to the claim in the twelve (12) months preceding the event.
9. Third-Party Services
Deliverables may rely on third-party platforms, APIs, or models. AI Scale Force is not responsible for changes, outages, or discontinuation of such third-party services.
10. Acceptable Use of the Site
You agree not to:
- Use the Site for any unlawful, fraudulent, or harmful purpose.
- Attempt to gain unauthorized access to any part of the Site or its underlying systems.
- Introduce viruses, malware, or other harmful code.
- Copy, reproduce, or distribute Site content without our written permission.
11. Termination
Either party may terminate a Contract in accordance with its terms. We may suspend or terminate access to the Site at our discretion where you materially breach these Terms.
12. Governing Law & Jurisdiction
Unless a Contract states otherwise, these Terms are governed by the laws of India, and the courts of Chennai, Tamil Nadu will have exclusive jurisdiction, subject to either party's right to seek injunctive relief in any competent court.
13. Changes to These Terms
We may update these Terms from time to time. Continued use of the Site after changes are posted constitutes acceptance of the updated Terms.
